Dissident dozen say no on pay

Janus Capital Group and M.D.C. Holdings are the latest companies to fail to generate majority support for their executive pay practices.

Last week, just 40.1 percent of shareholders approved Janus Capital's compensation package at the asset manager's annual meeting.

M.D.C. Holdings received only 33.4 percent support in its advisory vote on compensation, according to RiskMetrics.

Shareholders and companies are on course for a major showdown over one of the provisions of the new Say on Pay mandate under the Dodd-Frank financial reform bill.

Under the rule, which the SEC made official earlier this week, companies must hold an advisory vote on its compensation table. This is a non-binding up or down approval for the entire group of executives.

Card interchange fees in the cross hairs

Minnesotan bank TCF has taken up against changes under the Dodd-Frank Act that will affect interchange fees for debit and pre-paid card processing fees. In fact, the bank has filed a suit against the Federal Reserve Board over the amendments made to the Act that cover interchange fees.

The amendments—known collectively as the Durbin Amendment for Senator Richard Durbin (Ill), who introduced them—mandate the Fed to analyze and regulate the fees that card networks can charge to retail companies for processing debit and pre-paid card transactions. It requires the regulator to ensure the fee structure is “reasonable and proportional” to the processing costs.

FDIC establishes Office of Complex Financial Institutions

Last week, the FDIC Board of Directors approved the establishment of an Office of Complex Financial Institutions, or CFI, as it began executing its obligations under the Dodd-Frank Wall Street Reform and Consumer Protection Act. "The FDIC plans to vigorously implement its new authorities under the Dodd-Frank Act, which ends the presumption of ‘too big to fail', for the largest and most complex financial institutions," said FDIC chair Sheila Bair, in announcing the shift.
